Gociu Lawyers announces its legal assistance to Almara Brands Company SA (Cupio) in the implementation of a dedicated corporate platform for the beauty and lifestyle segment—designed to enable accelerated growth, clear governance, and scalable expansion scenarios.
The project reflects a strategic corporate architecture approach: a proven retail beauty brand with over 10 years of market presence is integrated into a separate, standalone structure built for operational flexibility, staged investment, and optional strategic partnerships.
The legal workstream was led by Gociu Lawyers, through the team coordinated by Adrian Gociu, Managing Partner, and Lorena Lazea, Senior Associate. BrinkThink Management, by Florin Cerna was involved in the project.
“In growth projects, value is not only in the brand—it is in how the structure protects assets, ring-fences risks, clarifies governance, and keeps strategic options open. When the architecture is done right, a commercial initiative becomes an investable, scalable platform,” said Adrian Gociu, Managing Partner at Gociu Lawyers.
From business growth to investable structure
In fast-moving consumer markets such as beauty and lifestyle—where product portfolios, channels, and customer preferences evolve rapidly—legal structure becomes a performance tool. The platform was designed to support multiple forward-looking scenarios, including expansion, retail and e-commerce optimization, staged capital injection, and the onboarding of partners, while maintaining predictability and limiting operational friction.
M&A-ready by design
The legal architecture was aligned from day one with transaction-readiness principles: clarity of asset allocation, risk separation, governance rules, and flexibility for future corporate actions. This approach reduces time and cost in potential investment or strategic partnership discussions and strengthens founders’ control over key assets.
The initiative illustrates an increasingly common strategy among Romanian entrepreneurial groups: creating dedicated platforms that preserve brand continuity while enabling faster execution and improved investment readiness.
