Global law firm Dentons has advised Societatea Energetică Electrica S.A., one of the leading players in Romania’s energy sector, on the establishment of its €1 billion Euro Medium-Term Note (EMTN) programme.
The base prospectus for the programme was approved on October 29, 2026 by the Luxembourg Financial Supervisory Authority (Commission de Surveillance du Secteur Financier – CSSF). The programme enables Electrica to issue bonds in multiple tranches, depending on its financing needs and market conditions, up to an aggregate nominal amount outstanding of €1 billion or its equivalent in other currencies.
The Dentons team was led by London partner Nick Hayday and included associates Ed Varney and Tom Day from the Capital Markets practice, supported by a Bucharest team comprising senior associate Alin Roca and associate Bogdan Galatanu from the Capital Markets practice, and Energy partner Claudiu Munteanu-Jipescu.
Nick Hayday, Capital Markets partner, said: “Establishing this EMTN programme gives Electrica greater flexibility to access the international capital markets and support its financing needs. Our combined London and Bucharest team brought together capital markets and energy capabilities to support this strategically important project.”
