AmCham Romania, through its Corporate Governance Committee, is delighted to invite you to the upcoming AmCham Roundtable on "Best Practices, Challenges, and Key Insights: Updates from the Revised Bucharest Stock Exchange Code", on Friday, February 7, between 10:00 am to 2:00 pm, at AmCham Romania (11 Ion Câmpineanu Street, Union International Center).

This event will bring together experts and distinguished professionals to deliver insights and thought leadership on corporate governance codes and best practices. The agenda is tailored to offer participants a comprehensive exploration of governance topics frameworks, featuring updates of the BVB Corporate Governance Code, applicable starting 1 January 2025, key aspects included in the revised AmCham Code of Corporate Governance, together with best practice key elements from EU and UK codes. The session will provide insightful actions to strengthen transparency, promote accountability, and ensure alignment with evolving global standards.

Participation is open to AmCham members based on prior confirmation. The working language for this event is Romanian. 

Registration is open by February 6, 2025, EOB.

About the speakers:

Ciprian Ladunca

Ciprian Ladunca is Managing Partner LCL Advisory, AmCham Board Member and Chair of the Corporate Governance Committee, while as Independent Board Member and Audit Committee Chair he serves on boards across a wide spectrum of industries—spanning listed and non-listed companies, banks, insurance firms, pension funds, investment funds, state-owned enterprises, private businesses, chambers of commerce, and NGOs.

Renowned for his expertise in corporate governance, corporate finance, and business growth, he is passionate about driving organizational success through sound governance and forward-thinking strategies. His qualifications are bolstered by specialized certifications from leading international universities, covering critical board agenda topics such as Business Administration, Corporate Governance, Finance, Digital Strategy/Fintech, and ESG.

Adriana Lobda

Adriana Lobdă membru fondator, ENVISIA - Boards of Elite. Școală de Afaceri ce derulează programe aplicate de educație pentru consiliile de administrație. Adriana are peste 20 de ani de experiență în servicii de audit și consultanță , colaborand cu firme mari de servcii profesionale.  Adriana este Co-fondator al Envisia Boards of Elite, FCCA fellow, membru CAFR, lector în programul „Effective Board Director Program” si absolvent master in Board Practice and Directorship desfășurat de Henley Business School, UK Reading University in Romania, in parteneriat cu Envisia.

Bogdan Fratiloiu

Bogdan Fratiloiu serves as the Compliance Director at Sun Wave Pharma, the leading supplements company in Romania, and as the Deputy Chair of the Corporate Governance Committee for the American Chamber of Commerce (AmCham) in Romania. He holds a degree in Law and another in Political Science from the University of Bucharest. Additionally, he earned a master’s degree in Corporate Affairs and Governance from the Rockefeller College of Public Affairs and Policy at the State University of New York, as well as an “International Diploma in Compliance” from the University of Manchester. In 2024, Bogdan completed a PhD in Business Administration at the Bucharest Academy of Economic Studies, with a thesis titled “Compliance Program – Added Value to Business Bogdan’s professional journey is marked by extensive experience in compliance and corporate governance, gained through roles in international companies. He is also a key contributor to many key corporate governance documents and guidelines and lecturer to national and international conferences.

Radu Ropota

Radu Ropota is Of Counsel in the Bucharest office of the international law firm Clifford Chance. He has more than 20 years of experience in a wide range of complex equity and debt capital markets transactions, banking, finance and restructuring transactions as well as white collar crime investigations. Radu has had a leading role in high profile equity capital market transactions involving major Romanian companies and has also led the legal department of investment fund Fondul Proprietatea / Franklin Templeton. Radu is also a student of the Board Practice and Directorship Programme organised by Henley Business School in partnership with ENVISIA-Boards of Elite.

Olga Morosanu

Olga is Group Internal Audit Director in NEPI Rockcastle, the premier owner and operator of shopping centres in the CEE and third in the EU, with a standing investments portfolio exceeding 7 billion EUR and operations in 8 countries. Certified Internal Auditor, Certified in Risk Management Assurance by the IIA USA, and Member of Association of Certified Fraud Examiners, Olga has more than 20 years background in process review and optimization, internal controls assessment, risk mitigation, compliance programs roll out, forensic investigations, business process improvement, digitalization. Throughout her career, Olga acquired acumen in Sarbanes-Oxley Act, international corporate governance frameworks, CSRD, EU Taxonomy and other climate-related EU directives, Olga is a member in the AmCham Corporate Governance Committee, actively contributing to developing and advocating best practices into the Romanian market.
