I. Annual General Meeting – DATE, VENUE & TIME

In line with the AmCham Statutes, AmCham Romania announces that the 2024 ANNUAL GENERAL MEETING OF THE ASSOCIATION (“AGM”) will take place on March 27, 2024, in person, at the InterContinental Athenee Palace Hotel Bucharest, Le Diplomate Ballroom (Bd. Episcopiei 1-3, București, România).

The first AGM call will be on March 27, at 16:30 at the InterContinental Athenee Palace Hotel Bucharest, Le Diplomate Ballroom.

In case the statutory quorum of + 50% +1 of the Association’s members will not be met, the second call of the AGM will be on March 27, at 17:00, at the InterContinental Athenee Palace Hotel Bucharest, Le Diplomate Ballroom (Bd. Episcopiei 1-3, București, România).

II. Annual General Meeting - AGENDA

During the Annual General Meeting, members of the  AmCham Romania Board of Directors will present the activity & financial reports for 2023 and propose for approval the 2024 objectives and budget.

The AGM concludes the election process for the Board of Directors and Auditing Committee.

The topics on this year’s AGM agenda are the following:

1. Approval of the AmCham Romania activity report for the year 2023 and objectives for the year 2024
2. Approval of the financial reports for 2023.
3. Approval of AmCham’s budget for the year 2024.
4. Presentation of Auditing Committee Report.
5. Election of 7 (seven) members of the Board of Directors.
6. Election of the 3 (three) members of the Auditing Committee.
7. Delegating the President of the Association, Mr. Cristian Sporiș, to sign the Minutes of the AmCham Romania Annual General Meeting as well as any other documents necessary for the registration of the AGM decisions with the competent authorities.

III. Annual General Meeting – ELECTIONS FOR THE BOARD OF DIRECTORS AND AUDITING COMMITTEE, VOTING PROCEDURE

Under Art. 35 of the AmCham Romania Statutes, 7 (seven) positions in the AmCham Romania Board of Directors and 3 (three) Auditing Committee positions are open for at-large elections.

Of the 7 (seven) members elected for the Board of Directors, at least 1 (one) member will be a candidate representing the Business membership category, enforcing the automatic positive discrimination, granted there will be votes for representatives of this category, in line with art. 35 par. (2) letter c) in the AmCham Romania Statutes.

The 7 (seven) candidates to be elected in 2024 will join the 6 (six) members of the Board of Directors, elected in March 2023, who are halfway through their two-year mandate.

The 2024 AGM will mark the end of a yearlong celebration on AmCham’s 30th anniversary in Romania, throughout 2023.

The first part of the AGM, dedicated to the AGM agenda, will be followed by a high-level discussion panel focused on business and investment growth in Romania featuring leaders who also have a regional perspective: 

• Petter Bryman – Vice President & Senior Analyst, Sovereign Risk Group, Moody’s Investors Services
• Andrew Wrobel – Founding Partner, Emerging Europe
• Robert Knorr – Managing Partner, MidEuropa

The expert session on the investment climate in Romania assessed against the Central and Eastern Europe (CEE) context will be moderated by Alex Irwin-Hunt - Global Markets Editor at fDi Intelligence, Financial Times.

Themes to be tackled:

• the sovereign rating of Romania and sovereign outlook.
• regional investment dynamics in the broader political/economic context.
• investment climate & opportunities in Romania (competitive advantages, growth potential).
