AmCham Romania is delighted to invite SMEs and large companies in our community to a specialist conversation on accessing the U.S. market.

On October 19, 2023, 3:00 pm to 5:00 pm, PricewaterhouseCoopers is hosting an informative discussion for companies that are looking to access the U.S. market. The event is suitable for both SMEs and large corporations and is open to members of the AmCham Romania community. To allow companies headquartered outside Bucharest to join the discussion, the event can also accommodate virtual participation.

  • Key U.S. tax consideration for Romanian/non-U.S. businesses looking to expand into or access the U.S. market. We will tailor our discussion for a variety of “user profiles”:

    • Start-ups/scale-ups serving US clients remotely or engaging with U.S. employees/contractors
    • Scale-ups planning to establish a presence in the U.S.
    • Companies looking to attract financing from U.S. investors

  • Common forms of doing business in the U.S. (C-corp, LLC) and key differences from a tax perspective
  • Considerations for transitioning from a non-U.S. into a U.S. headquartered company, including tax impacts for Romanian founders and investors.

Speakers

  • Joel Slavonia, Partner, International Taxation Services, PwC

Joel has over 20 years of experience in providing tax structuring advice regarding all types of business combinations, divestitures, and restructurings and has been involved in well over 500 domestic and international acquisitions and post-acquisition integration implementation projects (including U.S. inbound and outbound). These transactions have ranged in size from $5 million to over $19 billion and have occured in a diverse range of industries. His experience in transactional tax consulting is extremly varied and includes constant and continuous exposure to the most current and novel deal structures. He splits his time approximately 50/50 between outbound and inbound client bases.

  • Diana Oprescu, Director, International Taxation Services, PwC

Diana is a Director in PwC U.S. Global Structuring - Financial Services group, specializing in deals and international tax structuring. Diana has 13 years of experience in international tax consulting and transaction structuring and is focused on advising private equity and other asset management clients, in U.S. domestic, inbound, and outbound transactions. Her experience in transactional tax consulting includes tax due diligence and structuring advice on M&A transactions, group restructurings, as well as post-acquisition integration implementation projects. She specializes in designing and implementing acquisition structures that optimize the entire investment lifecycle and ensure tax efficient entry, operations, repatriation, and exit.

Prior to joining PwC in San Francisco, Diana worked with PwC Romania advising clients in technology, media, and telecom in a wide range of domestic and international tax matters.
