Nestor Nestor Diculescu Kingston Petersen (NNDKP) advised a syndicate of banks on the USD 260 million loan facility granted to ALRO SA, one of Europe’s largest vertically integrated aluminium producers.

The bank syndicate comprised Banca Comercială Română (BCR), acting as Coordinator of the Syndicate, Mandated Lead Arranger, Bookrunner, Documentation Agent, Facility and Security Agent, Issuing Bank and lender, together with Exim Banca Românească, CEC Bank, Banca Transilvania, Raiffeisen Bank and Intesa Sanpaolo Bank România, as lenders.

NNDKP assisted the banks throughout the financing process, advising on complex matters related to the structuring, drafting and negotiation of the financing documentation, as well as on all aspects specific to this type of transaction.

ALRO SA will use the financing, structured as revolving facilities, to refinance existing debt and to cover working capital needs, offering the group flexibility in its operations.

The NNDKP team that advised on the transaction was led by Alina Radu, Partner and Co-head of NNDKP’s Banking and Finance practice, and included Cătălina Dan, Senior Associate, Alexandru Ciambur, Managing Associate, and Diana Vasile, Associate.

“We are honoured and delighted to have contributed to the successful completion of this complex financing, which involved innovative features for the Romanian syndicated lending market, and once again highlights the importance of partnerships between banks that have the strength, confidence and willingness to support the Romanian economy and companies that have the vision, ambition and ability to build for the long term. We thank all parties involved for their trust and congratulate them on what they have achieved and what they continue to build!”, said Alina Radu, Partner and Co-head of NNDKP's Banking & Finance practice.

“This transaction builds on our previous collaboration of several years with the banks supporting ALRO and partnering with them once again on a transaction of this scale is a confirmation of their trust. The new financing supports the company’s continued growth, and we always see the success of the projects we are involved in as an achievement for us as well. We thank the BCR team, all the banks participating in the syndicate, ALRO and ZRVP team for another successful collaboration!”, said Cătălina Dan, Senior Associate.

NNDKP’s Banking and Finance team consistently advises clients on complex multi-billion-euro financing projects, including corporate finance, project finance and acquisition finance, both local and cross-border. The team’s expertise is acknowledged by specialized international guides such as Chambers Europe, Legal 500 and IFLR1000, which regularly recognize the NNDKP practice and lawyers in their rankings.
