A legal team of Zamfirescu Racoţi & Partners (ZRP ), coordinated by senior partner Anca Danilescu and consisting of senior associates Iuliana Negoiţă and Dan Curiciuc, assisted Saint-Gobain Glass Romania, member of Saint-Gobain Group, world leader on the glass producing and construction markets, in the acquisition of the entire share capital of Romanian company Pietta Glass Working, active in glass processing and insulating glazing systems for facade markets and certain industrial applications.
"It was an interesting, challenging transaction, a race against the clock, finalized successfully in less than four months. The multidisciplinary team included over nine attorneys at law with different areas of specialization. This is one of the most important M&A deals of the year, involving a ZRP team", stated Anca Danilescu.
The legal services provided by the team of lawyers included: overall legal assistance during the entire acquisition process of the target company, with special focus on: structuring the transaction from a legal perspective, conducting the legal due diligence regarding the target company, drafting and negotiating the transaction documents, assisting in the fulfilment of the conditions precedent, drafting the relevant corporate documents and performing the necessary registrations with the competent registries.
ZRP has been providing legal assistance services to Saint-Gobain Group in the last 11 years, on various projects, in areas such as mergers and acquisitions, corporate law, contracts, labor law, dispute resolution etc.
This acquisition will allow Saint - Gobain Group to expand the business’ industrial footprint in order to better serve the growing facade markets and round out its positioning in industrial applications with an optimized cost base. The transaction is consistent with the Group’s strategy of expanding its range of downstream products towards high-value added solutions.
