Suciu Popa has successfully assisted R34dy Zrt., a leading provider of banking as a service (Baas) type of services and processes, in connection with the acquisition of a minority share in the capital of Bluepoint Consulting, a leading local provider of services for the implementation of the Oracle Flexcube Universal Banking System (FCUBS) for banks in Romania.

The transaction included the execution of a share sale-purchase agreement as well as the structuring and conclusion of a shareholders’ agreement, addressing the corporate governance rules, the relationships between the shareholders and the shareholders’ rights following the completion of the transaction. Suciu Popa’s mandate covered legal assistance and representation during all the transaction phases, including for performing the legal due diligence process, securing the employees’ IP rights to the benefit of Bluepoint Consulting, drafting and negotiating the transaction documents and obtaining the requisite approvals and the fulfillment of conditions precedent for closing of the transaction.
