STRATULAT ALBULESCU ADVISES EDS ROMANIA IN THE ACQUISITION OF MEGA PRESS&EDITURA ARAMIS

Stratulat Albulescu Attorneys at Law assisted EDS Romania, part of Euro-Druckservice Group, a leading print service provider in Central and Eastern Europe with the acquisition of the heat-set printing business “as a going concern” from Mega Press Holdings SA and Editura Aramis SRL.

The Firm advised EDS Romania from the outset of this transaction and throughout the entire process, being actively involved in structuring the transaction, performing the due diligence exercise in relation to the transferred business, drafting full transaction documentation, advising during negotiations, advising on all matters pertaining to fulfilment of conditions precedent, and closing of the transaction including providing assistance with obtaining the required financing necessary for payment of part of the purchase price.

Additionally, as the parties involved in the transaction acted as two of the top market players in the heat-set printing industry in Romania, our assistance also involved obtaining the merger clearance.

The dedicated team of Stratulat Albulescu was led by the Managing Partner Silviu Stratulat, and Partner Ramona Iancu. Senior Associate Cristina Man, as well as Associates, Silvana Zecheru and Catalina Oancea, were also involved in the transaction.
